Terms of Service

1. Acceptance of Terms

By accessing or using CompliEase ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy, which is compliant with the Digital Personal Data Protection Act, 2023 (DPDP Act). If you do not agree to these terms, you may not use the Service. These terms apply to all users, including firm administrators, staff members, and any other individuals granted access.

2. Description of Service

CompliEase is a compliance management platform designed for Chartered Accountant (CA) and Company Secretary (CS) firms in India. The Service provides:

  • Compliance management and deadline tracking
  • AI-assisted notice response and draft generation
  • Automated document generation for regulatory filings
  • Regulatory tracking and change notifications
  • Client and task management tools

3. User Accounts & Authentication

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Data Processing & DPDP Act Compliance

As a Data Fiduciary under the DPDP Act, 2023, CompliEase processes personal data in accordance with the following principles:

  • Lawful processing: We process personal data only for lawful purposes with valid consent or other legitimate grounds under Section 4
  • Purpose limitation: Data is collected only for specified, explicit, and legitimate purposes disclosed to you
  • Data minimisation: We collect only the data necessary to provide the Service
  • Storage limitation: Data is retained only as long as necessary and erased when no longer required
  • Security safeguards: Reasonable security measures are implemented under Section 8 to protect your data

You may exercise your rights as a Data Principal (access, correction, erasure, portability) at any time via Settings → Privacy or by contacting privacy@compliease.in.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations
  • Attempt to circumvent, disable, or interfere with security features of the Service
  • Scrape, crawl, or use automated means to access the Service without our written consent
  • Upload malicious code, viruses, or any harmful content to the platform
  • Impersonate another person or entity, or misrepresent your affiliation with any person or entity

6. AI-Generated Content Disclaimer

The Service uses artificial intelligence (with your explicit consent) to generate drafts, responses, and recommendations. All AI-generated content is advisory in nature and provided for informational purposes only. AI outputs must be reviewed, verified, and approved by a qualified Chartered Accountant or Company Secretary before submission to any regulatory body or client.

CompliEase does not guarantee the accuracy, completeness, or legal validity of AI-generated content. The responsibility for any filing, submission, or professional advice remains solely with the licensed professional reviewing and approving such content.

7. Data Ownership

All client data, documents, and compliance records uploaded to or created within the Service remain the sole property of your firm. CompliEase does not claim any ownership rights over your data. You grant us a limited license to process your data solely to provide the Service to you, in accordance with the purposes disclosed in our Privacy Policy.

8. Subscription & Billing

Paid features of the Service are available through subscription plans. Payment processing is handled by Razorpay. By subscribing, you agree to pay all applicable fees and authorize recurring charges as per your selected plan.

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing cycle. Refunds are not provided for partial billing periods unless required by applicable law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, CompliEase and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claims arising under these terms shall not exceed the amount you paid for the Service during the twelve (12) months preceding the claim.

10. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or through a notice on the Service at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the updated terms.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, including the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Bengaluru, India.
